1. Acceptance of Terms

By accessing or using AlturaCyber's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Description of Services

AlturaCyber provides cybersecurity services including but not limited to:

  • Penetration Testing and Vulnerability Assessments

  • Security Audits and Compliance Consulting

  • Managed Security Services (SOC, EDR, Threat Intelligence)

  • Cybersecurity Training and Awareness Programs

  • Incident Response and Digital Forensics

  • Cloud and Infrastructure Security Solutions

The specific scope of services will be defined in individual service agreements or statements of work.

3. User Responsibilities

When using our services, you agree to:

  • Provide accurate, current, and complete information

  • Maintain the security of your account credentials

  • Notify us immediately of any unauthorized access or security breaches

  • Comply with all applicable laws and regulations

  • Not use our services for any unlawful or prohibited purposes

  • Not interfere with or disrupt our services or servers

  • Obtain proper authorization before requesting penetration testing or security assessments

4. Authorization and Scope

For penetration testing and security assessment services, you represent and warrant that:

  • You have the legal authority to authorize testing on the target systems

  • You own or have written permission to test the systems, networks, and applications

  • You will provide clear scope definitions and testing boundaries

  • You will inform relevant stakeholders about the testing activities

You agree to indemnify and hold AlturaCyber harmless from any claims arising from unauthorized testing or scope violations.

5. Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the engagement. AlturaCyber will:

  • Protect your confidential information using reasonable security measures

  • Not disclose findings or vulnerabilities to third parties without authorization

  • Limit access to your information to personnel who need it for service delivery

  • Execute a separate Non-Disclosure Agreement (NDA) when requested

6. Intellectual Property Rights

All content on our website, including text, graphics, logos, software, and methodologies, is the property of AlturaCyber or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, distribute, or reproduce our proprietary materials without permission

  • Reverse engineer or attempt to extract source code from our tools

  • Use our methodologies or frameworks for commercial purposes without a license

Reports and deliverables created specifically for you remain your property, while AlturaCyber retains ownership of underlying methodologies and tools.

7. Payment Terms

Unless otherwise specified in a service agreement:

  • Fees are due as outlined in the service proposal or invoice

  • Payment terms are typically net 30 days from invoice date

  • Late payments may incur interest charges and service suspension

  • All fees are non-refundable unless otherwise agreed in writing

  • You are responsible for all applicable taxes

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AlturaCyber's total liability shall not exceed the fees paid for the specific service

  • We are not liable for indirect, incidental, consequential, or punitive damages

  • We do not guarantee that all vulnerabilities will be discovered

  • We are not responsible for damages caused by your failure to implement recommendations

  • Services are provided "as is" without warranties of any kind

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless AlturaCyber, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms

  • Your unauthorized testing or scope violations

  • Your misuse of our services or deliverables

  • Your violation of applicable laws or third-party rights

10. Service Modifications and Termination

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of our services at any time

  • Refuse service to anyone for any reason at any time

  • Terminate your access for violations of these Terms

Either party may terminate an ongoing engagement as specified in the service agreement. Termination does not relieve you of payment obligations for services already rendered.

11. Professional Conduct

Our security professionals adhere to strict ethical guidelines and industry standards. However, penetration testing and security assessments carry inherent risks. By engaging our services, you acknowledge and accept these risks, including potential system disruptions or data exposure during testing.

12. Reporting and Disclosure

Security findings and vulnerabilities discovered during our assessments will be reported only to you and authorized personnel. We follow responsible disclosure practices and will not publicly disclose vulnerabilities without your written consent and appropriate remediation time.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiation between the parties

  • Mediation if negotiation fails

  • Binding arbitration or litigation in Lagos, Nigeria as a last resort

14. Force Majeure

AlturaCyber shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or network infrastructure failures.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and AlturaCyber regarding our services and supersede all prior agreements and understandings.
